1. Scope
These Terms govern all transactions conducted via the PLB Distribution Europe OÜ online store. This website is strictly intended for **business-to-business (B2B)** transactions.

2. Business Customers
We sell exclusively to legal entities and professional users. All prices shown are **net prices (excluding VAT)** unless otherwise stated. 

3. Orders and Contracts
An order becomes binding once confirmed in writing or upon payment. We reserve the right to refuse orders for justified business reasons, such as supply limitations or compliance checks.

4. Pricing and Payment
Prices are listed in EUR. Payment methods include bank transfer, Shopify Payments, or other approved channels.  
Invoices are issued in accordance with Estonian accounting regulations.  
VAT is not charged automatically at checkout while the business operates under a pre-registration model.

5. Delivery
Orders are shipped within the EU according to agreed Incoterms (DAP/EXW).  
Delivery timelines depend on product availability and supplier logistics.  
We are not liable for delays caused by third-party carriers or customs procedures.

6. Warranty and Returns
Products are covered by the manufacturer’s warranty. Returns are accepted only for defective or incorrectly supplied goods, subject to prior approval.

7. Liability
Our liability is limited to direct damages resulting from intent or gross negligence.  
We are not liable for indirect, consequential, or business interruption losses.

8. Intellectual Property
All logos, brand names, product descriptions, and visual materials remain the property of their respective owners.

9. Governing Law
These Terms are governed by Estonian law. The competent jurisdiction is the Harju County Court, Tallinn.
